To ensure our collaboration runs as smoothly as possible and to achieve the best results, the following general terms and conditions apply.

1. Definitions

In these terms, the following definitions apply:

• Positive by Nature: the company that provides trainings, workshops, chairmanships, keynotes, and online products and services
• Client: the natural person or legal entity that uses the services of Positive by Nature.
• Participant: the natural person who participates in a training, workshop, or other activity.
• Offline products and services: all trainings, workshops, chairmanships, and keynotes that Positive by Nature delivers in the form of a natural person.
• Online products and services: all products purchased in the online academy and/or webshop at positivebynature.nl or www.positivebynature.com

2. Applicability

These general terms and conditions apply to all offers, quotes, services, products, and agreements of Positive by Nature, unless agreed otherwise in writing.

3. Payment Terms

• For offline products and services, payment is made by invoice, based on the approved quote. The quote is based on information provided by you. Do you agree with the quote? Then Positive by Nature would like to receive it signed and returned (digitally or by post). Once the signed quote is received, the execution of the assignment begins and the cancellation policy takes effect. Invoices for chairmanships, keynotes, and in-company trainings or workshops are sent in the week after delivery and must be paid within 14 days.

For participation in open trainings, the full amount must be paid before the start. If payment is not received, Positive by Nature reserves the right to assign a reserved place to someone else; however, the payment obligation remains.

If necessary, a collection agency may be engaged, with legal and extrajudicial costs being charged.

• For online products and services, payment is made immediately via bank or credit card.

4. Cancellation Terms

• Offline products and services:
  Rescheduling of chairmanships, keynotes, and in-company trainings can be done free of charge up to two months before the agreed date, after which additional costs apply; 20% within two months, 40% within one month, 60% within two weeks. If you cancel a chairmanship, keynote, in-company training, or open enrollment training more than two weeks before the agreed date (before the start of the first training), you pay 50% of the agreed rate. If you cancel less than two weeks before the agreed date, you pay 100% of the agreed rate.
• Online products and services: The statutory provisions regarding the purchase of online products and services apply here.
• Positive by Nature reserves the right to cancel trainings due to insufficient registrations (up to one week before the start of the first training), or force majeure due to illness or family circumstances. In case of cancellation by Positive by Nature, the full amount will be refunded.

5. Access and Use

• Online Trainings: After payment, you will receive access to the online training via the login details provided by us. You are responsible for keeping these details confidential.
• Offline Trainings: You must be present at the agreed location on the specified date and time.
• You may only use the trainings for personal purposes and may not share, reproduce, or distribute the content without written permission.

6. Responsibilities

What can you expect from Positive by Nature? Positive by Nature carries out the assignment to the best of its insight and ability. Communication preferably takes place via email, with responses within 48 hours (except in cases of illness, family circumstances, and holidays). Openness and honesty are central.

What does Positive by Nature expect from you? To achieve optimal results when purchasing an offline product or service, timely and complete provision of information is important. Information for day chairmanships, keynotes, and training sessions should be available on the agreed delivery date.

7. Liability

• Participants in online and offline training sessions should be aware of possible side effects of mindfulness-based training and exercises. Participants are free to perform exercises at their own discretion. Positive by Nature is not liable for physical or psychological injury, nor for loss or theft of personal belongings (for on-site training).
• If the participant is not satisfied, they should contact Positive by Nature as soon as possible (see point 7). If satisfied with the service, the invoice will be paid as agreed.
• Liability of Positive by Nature never exceeds the agreed invoice amount for that service.

8. Complaints and Disputes

In case of dissatisfaction, the participant is expected to discuss this with the trainer. If the problem is not resolved satisfactorily, a complaint can be filed by email (info@positivebynature.nl) within one week after the date of the activity. All complaints are treated confidentially and handled within four weeks.

Only Dutch law applies. Disputes arising from or in connection with these General Terms and Conditions will be submitted to the competent court in the Netherlands.

9. Copyright and Ownership

• Unless expressly and in writing stated otherwise, the copyright on the online and offline products and services belongs to Harriët van der Weele, founder and trainer of Positive by Nature. Without express written permission, these may not be reproduced or made available to third parties in any way or used for the benefit of third parties.
• Course materials distributed during the training are the property of the participant but may not be reproduced or made available to third parties without written permission (see bullet point above).
• Making audio or video recordings during Positive by Nature trainings is only allowed with prior written permission from Positive by Nature.

10. Changes to the General Terms and Conditions

Positive by Nature reserves the right to change these General Terms and Conditions. These will take effect from the moment they are published on the website.
